  1. General

    The terms and conditions, in conjunction with the Privacy Policy and any other relevant policies subsequently introduced, establish the legal relationship between Life Altering Social Enterprises LLP (LASER) , a Limited Liability Partnership firm, registered under the LLP Act 2008 having its registered office at C111 Yashodhan, Irla Bridge, 71 S.V.Road, Andheri West, Mumbai 400058hereinafter referred to as "We ","Us ", and "Our") and its User(s) (hereinafter referred to as "You", "Your", and "User") . These terms and conditions (hereinafter referred to as the "Terms'') are constructed in accordance with the Information Technology (Intermediaries Guidelines) Rules, 2011, as specified under the Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023 and other applicable rules and policies. These Terms govern the terms and conditions of your access and usage of Fydback.com (hereinafter referred to as the "Website"). These Terms, which incorporate our Privacy Policy, also govern your access to and use of our services, including our communications, events, and other covered products or services that link to these Terms (hereinafter collectively referred to as “Services''). By accessing and using the services, you agree to comply with these Terms. If you are using the services on behalf of a company or any other legal entity, then "You" also means such company or legal entity, and you agree to be bound by these Terms even if we have a separate agreement with you. You may not use the services if you do not agree to the linked version of the Terms at the time you access the services.

    1. Affiliates: Any entity that directly or indirectly controls, is controlled by, or is under common control of or with LASER now or in the future

Applicable laws: Applicable Law means any and all laws, ordinances, constitutions, regulations, statutes, treaties, rules, codes, licences, certificates, franchises, permits, principles of common law, requirements and Orders adopted, enacted, implemented, promulgated, issued, entered or deemed applicable within India.
    3. Content: "Content" means any work of authorship or information, including advertisements, comments, opinions, postings, questions, text, data, or other materials.
    4. Control: Control means having a majority of shares or the right and ability to direct management
    5. LASER: For the purposes of these Terms, “LASER” LASER Group: LASER Group includes its affiliates, subsidiaries, officers, directors, board members, board advisors, employees, partners, agents, successors, and assigns.

    7. Marks: Either our or third party’s trademarks, logos, or service marks displayed on the Website.
    8. Profile: Profile means an account for you that includes the personal data you provide.
    9. Services: Services means as defined under clause 3 of these terms and conditions.
    10. Submissions: Submissions include users submitting their ideas, suggestions, documents, or proposals to FydBack.
    11. Terms/Terms and Conditions: Terms include set of rules and guidelines that outline the rules, responsibilities, rights, and obligations governing a contractual relationship or the use of our Service.

  3. Description of Services
    1. LASER provides a platform, Fydback.com for the provision of descriptive reviews pertaining to the individuals. This platform comprises three distinct sections:
      1. General List of Descriptors
      2. Extended List of Descriptors
      3. Provision to Buy Additional Descriptors.
    2. General List of Descriptors: This section of the Website presents a general list of descriptors, positive as well as negative on the individual being reviewed. It furnishes positive and some negative descriptors associated with the individual.
    3. Extended List of Descriptors: This section of the Website presents some extra descriptors
    4. Provision to buy Additional Descriptors: These are specific additional descriptors which can be bought to describe the person being reviewed or ask yourself to be voted upon for such additional descriptor Please note that access to specific descriptors may require a nominal fee as determined by LASER at its sole discretion.
    5. Every Individual shall have the option to keep their reviews hidden. Access to these hidden reviews shall only be granted with the consent of the person being reviewed.
  4. Eligibility to Use the Services
    1. To access and utilise our services, you must meet the minimum age requirement of 18 years or the legal age as specified within your jurisdiction, if it is older. Furthermore, you must not be prohibited by the Indian Contract Act-1872, Indian Majority Act-1875 or any other applicable laws from utilising our services. Our services are intended solely for personal, non-commercial purposes unless a separate commercial agreement has been established by us. It is essential to note that you are prohibited from using our services if your account(s) have been terminated by us or if you have been banned from using them.
  5. Registration
    1. To access our Services, which include providing reviews for individuals and delivering descriptive words (e.g., Good, Hard-working, Pretty, Aggressive, Gentle, Flirt, Freeloader, and more) to streamline the review process and offer FydBack on individuals, users must complete the registration process on the Website. Registration is a one-time process and is free of any hidden charge. Users can register by creating an account on the Website, where they will be required to provide relevant personal information like Name, Email – ID, Date of Birth, Address, and more. Subsequently, an account with an exclusive username and password will be created by us for the users.
    2. It is the user’s sole responsibility to maintain the confidentiality of the login credentials for their account, and the users agree not to share them with any third parties. You further agree to notify LASER immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by LASER or any other user of or visitor to the Website due to someone else using your ID, password or account as a result of your failing to keep your account information secure and confidential. You may not use anyone else’s ID, password or account at any time without the express permission and consent of the holder of that ID, password or account. LASER cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations
  6. LASER Services Accounts
    1. Accounts And Profiles
      1. To access most of our Services, you are required to create an account and provide certain personal data on our platform Fydback.com
      2. You affirm that the information you provide to us through your account(s) is accurate and that you will maintain its accuracy
      3. You are responsible for the security of your account(s) and accept responsibility for all activities conducted through your account(s). LASER disclaims any liability for actions taken by third parties via your account(s). You agree to promptly notify us of any suspected unauthorised use of your account(s) or any unauthorised access to your password(s)
      4. To provide you with access to features across our services, we may create and link different service accounts for you.
      5. When you set up an account to access the services, we generate a Profile
      6. We may update your Profile with information we obtain from third parties. We may also utilise the personal data you provide us. You can read more about how we collect and process your data in our Privacy Policy https://fydback.com/privacy.
      7. Portions of your Profile may be visible to other users and the public (e.g., your name and profile picture) depending on the services, mode of communication, or anonymity preferences you wish to opt for. We may in certain circumstances, permit you to share your Profile with third parties or adjust your Profile’s visibility settings. However, your Profile will not publicly include or link to your Content, which you submit semi-/anonymously to our services.     2. Communications
      1. By creating an account, you agree and consent to accept and receive communications from FydBack, FydBack affiliates, and our third-party service providers.
      2. These communications may be via email, push notifications, or any other mode of communication available otherwise. You acknowledge and agree that you may receive communications generated by automatic telephone dialling systems delivering pre-recorded messages sent by or on behalf of LASER, its affiliates, and/or our third-party service providers, including communications concerning your account(s), our services, and services offered by our affiliates. Standard Message and data rates may apply.
      3. To unsubscribe from non-service-related emails, please use the unsubscribe or email settings link in the email(s) you receive. If you unsubscribe only from an individual type of email communication you will continue to receive other types of emails. We may also offer a settings function via our services to manage your email preferences.
      4. Unless you choose to delete your account(s), you cannot unsubscribe from certain communications that are required as part of your use of our services.
  7. Content on LASER Services
    1. Rights to Your Content
      1. You are solely responsible for your use of the Services and your Content. We do not claim ownership over your Content that you submit or authorise for use of the Services. However, by submitting or authorising the display of your Content, you grant us the following rights; you hereby grant us a worldwide, unrestricted, irrevocable, perpetual, non-exclusive, fully-paid, and royalty-free licence (with the right to sublicense through unlimited levels of sublicenses). This licence permits us to use, reproduce, copy, process, modify, publish, translate, transmit, perform, display, create derivative works from, adapt, and distribute your Content in any and all media (now known or later developed) worldwide. This licence also allows us to display any other Content that you submit, link to, or otherwise make available through the Services, worldwide, in any manner or media, whether on or off the Services.       2. To the greatest extent permitted by applicable law, you hereby expressly waive all of your moral rights applicable to LASER’s exercise of this licence.

It also allows us to make Content submitted to or through the Services accessible to other companies, organisations, or individuals for syndication, broadcast, distribution, promotion, or publication on various media and services.       4. No compensation will be paid and provided with respect to Content that you submit through the services.

By providing Submissions to FydBack.com or its employees or agents, you acknowledge and agree that LASER is entitled to use, disclose, reproduce, licence, and otherwise distribute, and exploit these Submissions without any obligations or restrictions of any kind and as we deem fit. The grant of rights encompasses all intellectual property rights, without exception.
    2. Content on the Website
      You understand and agree that:
      1. The services may feature, contain, or link to sponsored third-party Content or advertisements. The nature, type, degree, and targeting of advertisements are subject to change, and you acknowledge and agree that we may place advertisements in connection with the display of any Content or information on the services, including your Content.
      2. We explicitly disclaim responsibility for, and refrain from endorsing, any third-party Content. This encompasses linked content, advertisements, information regarding third-party products and Services.

      2. When you submit content or reviews, and if you choose to use semi-anonymous identifiers like your name, we ensure that this information is not linked to the part of your profile visible to the public. This way, you have more control over how your content and identity is displayed.
      3. When you submit Content like as a comment, review, descriptor, or question, you have the option to control how you present using various anonymity choices. For example, when using some of our services, you can choose to submit Content, Review with your name or be anonymous.
      4. However, you acknowledge that we cannot guarantee your anonymity as, depending on your specific situation and circumstances and the contents of your Content/Review, even semi-/anonymous identifiers, especially when paired with other information such as your location, may allow someone to identify you or narrow down your identity to a small group of people (e.g., employees in a particular department at any company). It is crucial to understand the risks before you decide to submit the Content, Review to the Services.
    3. Representations
      1. You represent and warrant that you will use the services solely for lawful purposes in a manner consistent with these Terms and any and all applicable laws, regulations, or other legally enforceable obligations (including contractual obligations) you may have towards us and/or any third parties.

      10. Violate these Terms, the terms of your agreements with us, explicit restrictions set forth in our Community Guidelines, or any applicable law, rule, or regulation;
      11. Submit Content that is defamatory, discriminatory, libellous, or fraudulent; that you know to be false or misleading; or that does not reflect your honest opinion and authentic experience;
      12. Act in a manner that is harassing, trolling, threatening, abusive, racist, bigoted, or is otherwise objectionable (as solely determined by LASER);
      13. Promote, endorse, or further illegal activities;
      14. Disclose information in violation of any legally enforceable confidentiality, non-disclosure, or other contractual restrictions or rights of any third party, including any current or former employers or potential employers;
      15. Violate the privacy, publicity, copyright, patent, trademark, trade secret, or other intellectual property or proprietary rights of any third-party;
      16. Submit anything pornographic or sexually explicit in nature, or engage in the exploitation of persons in a sexual or violent manner;
      17. Solicit or submit minors’ personal data;
      18. Except as expressly approved by us or as otherwise approved in these Terms, and subject to applicable laws, use the services for commercial activities and/or promotions such as contests, sweepstakes, barter, pyramid schemes, advertising, affiliate links, and other forms of solicitation;
      19. Imply a LASER endorsement, sponsorship, or partnership of any kind without our express written permission;
      20. Send messages in violation of the Information Technology Act-2000 and Digital Personal Data Protection Act 2023 or any other applicable law and policies;
      21. Introduce software or automated agents to the services, or access the services so as to produce multiple accounts, generate automated messages, or to scrape, strip, or mine data from the services without our express written permission;
      22. "Frame" or "mirror" or otherwise incorporate part of the services into any website, or "deep-link" to any portion of the services without our express written permission (except in instances where we make such functionality available via an API or formal embedding feature);
      23. Copy, modify, or create derivative works of the Services or any Content (excluding your Content) without our express written permission;
      24. Copy or use the information, Content (excluding your Content), or data on the services in connection with a competitive service, as solely determined by FydBack;
      25. Interfere with, disrupt, modify, reverse engineer, publish, republish, display publicly, encode, decode, translate, transmit, distribute, or decompile any data or functionality of the Website or server;
      26. Interfere with, disrupt, or create an undue burden on the services or the networks or services connected to the services; and/or
      27. Introduce any viruses, trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software to the services; or attempt to circumvent any security feature of the Website or server.
    4. Actions We May Take
      We may, at our sole discretion:
      1. Stop (permanently or temporarily) providing the services or any features within the services to you or to users generally.
      2. Create limits on use and storage at our sole discretion at any time.
      3. Remove, refuse to distribute, or limit distribution or visibility of any Content on the services.
      4. Suspend or terminate the account of the Users.
  9. Our Roles and Responsibilities
    1. We will provide the availed services in a professional and workmanlike manner, consistent with the standards of the industry and regulations that apply.
    2. We will diligently strive to maintain and ensure the security, reliability, and availability of the Website and any associated services that have been availed by the users such as generation of Content. We shall not be liable in the event of the Website experiencing a downtime or being affected by an error that interrupts the operation of the Website.
  10. Enforcement by LASER or Third Parties
    1. Removal of Content
      1. While we have no obligation to do so, we reserve the right to review and remove any Content (or portion thereof) that we believe, in our sole discretion, violates these Terms or other applicable policies linked on the services (including our Community Guidelines), or that we deem, in our sole discretion, inappropriate. If you see any Content on the services that you believe violates and breaches our policies, you may report that Content by clicking on an applicable report link adjacent to that Content or by contacting us. Once notified, we will review the Content and consider whether to remove it (or a portion thereof). Please note: our interpretation of our policies and the decision whether or not to remove Content is within our sole discretion.     2. Other Enforcement Actions
      1. While we have no obligation to do so, we reserve the right to investigate and take appropriate action in our sole discretion against you if you violate these Terms, including without limitation: removing Content (or portions thereof) from the services; suspending some or all your rights to use the services; terminating your account(s); reporting you to law enforcement, regulatory authorities, or administrative bodies; and taking legal action against you.

  11. Indemnity

You hereby agree to defend, indemnify, and hold harmless LASER Group from any losses, liabilities, claims, actions, suits, demands, including legal fees and associated costs, raised by any third party. These claims may arise directly from your use of the Services, your violation of any provisions within these Terms, or any falsification of information pertaining to your identity or employment history or status; you also agree to indemnify us against any losses or liabilities resulting from your breach, non-performance, non-compliance, or insufficient fulfilment of any terms, conditions, representations, obligations, or warranties as set forth in these Terms. This includes any actions, errors, misrepresentations, wilful misconduct, or negligence committed by you, your employees, subcontractors, or agents while carrying out your obligations under these Terms. Furthermore, you shall indemnify us against any claims arising from the infringement of intellectual property rights or invasion of privacy rights of third parties due to your utilisation of the Website and its Services.
  12. Disclaimers and Limitation on Liability

    3. We are not responsible for the activities, omissions, or other conduct, whether online or offline. We are not responsible for any incorrect, inaccurate, or unlawful Content submitted to the services, whether caused by users or by any of the equipment or programming associated with or utilised in the services. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of, any communication with you, or any other users. We are not responsible for any problems or technical malfunction of any hardware and software due to technical problems on the Internet or on the services or combination thereof, including any injury or damage to you or to any person’s device related to or resulting from participation or downloading materials in connection with the services. WE MAKE NO WARRANTY THAT: (1) THE SERVICES WILL MEET YOUR REQUIREMENTS OR REMAIN SATISFACTORY; OR (2) THE SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
    5. YOU HEREBY RELEASE THE LASER GROUP FROM ANY AND ALL CLAIMS, DEMANDS, AND LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND THAT ARE EITHER DIRECTLY OR INDIRECTLY RELATED TO OR ARISES FROM: (1) THE ACTIONS, CONTENT, OR DATA OF THIRD PARTIES (INCLUDING, ADVERTISERS, EMPLOYERS, AND OTHER USERS) (2) YOUR PARTICIPATION IN ANY OFFLINE EVENTS.
    6. LASER reserves the right in its sole discretion to review, improve, modify, or discontinue, temporarily or permanently, the services and/or any features, information, services, materials, Content, or information on the services with or without notice to you. You agree that FydBack shall not be liable to you or any third party for any modification or discontinuance of the service or any portion thereof.
    7. IN NO EVENT SHALL THE LASER GROUP BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
  13. Termination
    1. We maintain a strict policy against breaches of the Terms and any misconduct directed towards us. Such violations of the Terms will not be tolerated and will result in immediate and severe disciplinary actions, in accordance with the relevant laws in force in India. These actions may include, but are not limited to, the termination of usage rights for the Website and the initiation of legal proceedings.
    2. These Terms remain in effect while you use the services and, for registered users, as long as your account(s) remains open. You may delete your account(s) at any time. We may suspend or terminate your account(s) or your access to parts of the Services, for any or no reason, without notice to you.     7. The intellectual property rights obligations set forth in this section shall survive the termination or expiration of this Agreement.
  16. Dispute Resolution

  17. Miscellaneous
    1. Except as specifically stated in another agreement we have with you, these Terms, and any other agreements, documents, or policies incorporated by reference in these Terms, constitute the entire agreement between you and us regarding the use of the services and these Terms supersede all prior proposals, negotiations, agreements, and understandings concerning the subject matter of these Terms.
    2. Consent: You represent and warrant that no person has made any promise, representation, or warranty, whether express or implied, not contained in these Terms to induce you to enter into this agreement.
    3. Severability: If any provision of the Terms is found to be unenforceable or invalid, then only that provision shall be modified to reflect the parties’ intention or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
    4. Waiver: Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision or of the right to enforce such provision.
    5. Force Majeure: We shall not be deemed liable for any delay or failure to fulfil its obligations if said delay or failure arises in connection with an Act of God beyond our reasonable control.
    6. Relief: You acknowledge that a breach of this Agreement may result in irreparable harm to us. In such cases, we shall be entitled to injunctive relief or equitable remedies, in addition to other remedies and damages available.
    7. Transfer: The Terms, including any associated rights or obligations, may not be assigned, transferred, or sublicensed by you without our prior written consent. However, we reserve the right to assign or transfer these Terms without any restrictions. Any attempt by you to make such an assignment shall constitute a violation of these Terms and be deemed void. The section headings used in these Terms are included for convenience purposes only and do not hold any legal or contractual significance. As used in these Terms, the word "including" means "including but not limited to.”
